1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the LinqTechub website at linqtechub.com and all associated cybersecurity services provided by LinqTechub Limited ("LinqTechub", "we", "us" or "our"), a company registered in England and Wales (Company No. 08412345).

The specific scope, deliverables and commercial terms for any engagement are set out in a separate Statement of Work ("SOW") or Master Services Agreement ("MSA") which, in the event of any conflict, shall take precedence over these Terms.
3. Eligibility
Our services are intended for business customers only. By using our services, you represent that:
- You are acting on behalf of a legal entity (not as a consumer)
- You have authority to bind that entity to these Terms
- Your organization is lawfully permitted to receive the services in your jurisdiction
- You are at least 18 years of age
4. Accounts and access
Where we provide you with access to a client portal or reporting platform, you are responsible for:
- Maintaining the confidentiality of your login credentials
- Restricting access to authorized personnel only
- Notifying us immediately of any unauthorized access or suspected compromise
- All activities that occur under your account
We reserve the right to suspend or terminate access where we suspect unauthorized use or a breach of these Terms.
5. Acceptable use
You agree not to use our website or services to:
- Conduct any unlawful, harmful or fraudulent activity
- Attempt to gain unauthorized access to any system or network (except as expressly authorized within an agreed penetration testing scope)
- Transmit any malware, viruses or malicious code
- Reverse engineer, decompile or disassemble any of our proprietary software or tools
- Resell, sublicence or transfer our services to any third party without prior written consent
- Make false representations about your identity, organization or the scope of any authorized testing
Important — authorized testing scope: Any penetration testing, red team or security assessment activities carried out by LinqTechub are conducted only within the scope explicitly agreed in a signed Rules of Engagement document. We will not conduct any testing outside that agreed scope under any circumstances.
6. Intellectual property
All content on our website, including text, graphics, logos, and software, is the intellectual property of LinqTechub or its licensors and is protected by UK and international copyright law.
With respect to deliverables produced during an engagement:
- Client data and pre-existing materials remain the property of the client
- Bespoke deliverables (such as reports, policies and procedures) created specifically for a client are owned by the client upon full payment
- LinqTechub's tools, methodologies and frameworks remain our intellectual property; we grant clients a limited, non-exclusive licence to use outputs derived from these within their organization
7. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party during an engagement. This obligation:
- Applies for 5 years following disclosure (or indefinitely for trade secrets)
- Does not apply to information that is or becomes publicly known through no breach of these Terms
- Does not prevent disclosure required by law or regulation, provided the disclosing party gives reasonable prior notice where permitted
We treat all client environments, findings and data with the strictest professional confidence. We will never disclose client-specific findings to third parties without express written consent.
8. Payment terms
Unless otherwise agreed in a SOW:
- Invoices are due within 30 days of the invoice date
- Overdue invoices accrue interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998
- We reserve the right to suspend services for non-payment after providing 14 days' written notice
- All fees are exclusive of VAT, which will be charged at the applicable rate
9. Limitation of liability
To the fullest extent permitted by law:
- Our total aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities
- Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or any liability that cannot be excluded by law
10. Indemnification
You agree to indemnify, defend and hold harmless LinqTechub, its officers, employees and subcontractors from any claims, damages, losses and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your use of our services in violation of applicable law
- Any inaccurate or misleading information you provide to us
- Any unauthorized scope provided to us that results in testing of systems you do not have authority to authorize
11. Termination
Either party may terminate an engagement by providing the notice period specified in the applicable SOW or MSA. In the absence of a specified notice period, 30 days' written notice applies.
We may immediately terminate or suspend access to our services without notice if you materially breach these Terms, including any unauthorized use of our platform or services.
Upon termination, all outstanding fees become immediately due. Provisions that by their nature should survive termination (including confidentiality, IP ownership and liability limitations) will continue to apply.
12. Governing law and disputes
These Terms and any disputes arising from them are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
Before commencing formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute through senior management escalation within 30 days of written notice of the dispute.
13. Changes to these terms
We reserve the right to update these Terms at any time. We will provide at least 30 days' notice of material changes for existing clients. Your continued use of our services after the effective date of any update constitutes acceptance of the revised Terms.
